Copalion Terms of Use

IMPORTANT NOTICE: THESE TERMS OF USE ARE SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION AND JURY TRIAL RIGHTS AS DETAILED IN SECTION 21 BELOW.

1. Introduction

Please review this page carefully. These Terms of Use ("Terms") constitute a legal contract between you and Copalion, LLC or one of our affiliates (collectively known as "Copalion," "Company," "we," "us" or "our"). The Terms govern your access to and use of our website and any subdomains or portals (collectively known as the "Websites" or "Sites") or your use of or interaction with all portals, products, goods, services, events, interactive features, or other services controlled by us that post a link to these Terms (collectively, the "Services").

By using the Sites or Services, you agree to these Terms. These Terms form a contract between you and us, and if you are using the Sites or Services on behalf of a company or organization, such company or organization will also be considered a party to these Terms. Our Services are not intended for individuals under the age of 18. By accessing the Services, you represent and warrant that you are at least 18 years of age.

2. Changes to These Terms

We may modify, add, or delete portions of these Terms at any time. Changes will be posted here with an updated date at the top. Your continued use of the Sites or Services after changes are posted constitutes acceptance of the revised Terms. We reserve the right to change, improve, suspend, or discontinue any aspect of the Services at any time without notice.

3. Privacy Policy

Our Privacy Policy is incorporated into these Terms by reference and forms part of this agreement. By using the Sites or Services, you consent to the collection, use, and disclosure of information as described in our Privacy Policy.

4. Additional Terms and Conditions

Certain features or services may require you to agree to additional terms. Any supplemental terms are incorporated into these Terms by reference and will not replace or override these Terms unless expressly stated.

5. Lead Commitment, Billing, and Commercial Terms

5.1 Definitions

  • Commitment Period: The twelve (12) consecutive months commencing on the invoice payment date.
  • Lead Commitment: The total number of leads Copalion has agreed to deliver during the Commitment Period.

5.2 Delivery & True-Up

Copalion will use commercially reasonable efforts to deliver the Lead Commitment on a monthly basis. Any shortfall shall roll forward and be fulfilled in subsequent months. If the Lead Commitment is not fulfilled during the Commitment Period, Copalion will extend delivery until completion.

5.3 Market-Volume Amendment

If available lead volume declines by more than fifty percent (50%) during the Commitment Period, Copalion reserves the right to amend the Lead Commitment.

5.4 Price Protection & Automatic Renewal

  • Price Protection: Pricing stated on the invoice is guaranteed for the Commitment Period.
  • Automatic Renewal: Upon expiration of the Commitment Period, the agreement renews automatically on a month-to-month basis unless the client provides at least thirty (30) days' written notice of non-renewal by email to info@copalion.com or by mail to Copalion [Address Placeholder].
  • Affirmative Consent: Client approval via electronic invoice, email confirmation, or signature constitutes affirmative consent to automatic renewal in compliance with applicable law, including the FTC's Negative Option Rule (16 C.F.R. Part 425).

5.5 No Guarantee

Copalion provides leads as an advertising service only and makes no guarantees regarding conversion, case value, or outcomes.

5.6 Integration & Governing Law

These provisions, together with the invoice, constitute the entire agreement regarding lead delivery.

This agreement is governed by the laws of the Commonwealth of Pennsylvania, and any dispute shall be resolved exclusively in the state or federal courts located in Philadelphia County, Pennsylvania, unless otherwise provided in Section 21.

6. Consent to Electronic Communications and SMS Terms

You consent to receive communications from Copalion electronically, including by email, phone, text message, website form, customer portal, or other electronic means. Electronic communications satisfy any legal requirement that such communications be in writing.

By providing your contact information to Copalion, including your phone number, you authorize us to contact you regarding your inquiry, account, services, business relationship, lead delivery, billing, or other matters related to the Services.

6.1 SMS Consent Communication

The information, including phone numbers, obtained as part of the SMS consent process will not be shared with third parties for marketing purposes.

Copalion may use phone numbers collected through the SMS consent process only for communications related to the Services, responding to inquiries, follow-up communications, appointment or call reminders, service updates, account-related messages, billing-related messages, compliance records, and managing opt-in and opt-out preferences.

6.2 Types of SMS Communications

If you have consented to receive text messages from Copalion, you may receive SMS messages related to the following:

  • Follow-up messages regarding an inquiry you submitted.
  • Appointment reminders or scheduled call reminders.
  • Service-related updates.
  • Account or client communication updates.
  • Billing or invoice-related inquiries.
  • Lead delivery, CRM, or business-service communications, where applicable.
  • Customer support or compliance-related communications.

Example message:

"Hello, this is Copalion. This is a friendly reminder regarding your scheduled call with our team on [Date] at [Time]. Reply STOP to opt out of SMS messaging from Copalion at any time."

6.3 Message Frequency

Message frequency may vary depending on the type of communication, your interaction with Copalion, and the nature of the Services being provided.

For example, you may receive up to 4 SMS messages per week regarding your inquiry, scheduled calls, account status, billing, service updates, or related communications. Message frequency may vary.

6.4 Potential Fees for SMS Messaging

Standard message and data rates may apply, depending on your mobile carrier's pricing plan. These fees may vary depending on whether messages are sent domestically or internationally. Copalion is not responsible for any charges imposed by your mobile carrier.

6.5 Opt-In Method

You may opt in to receive SMS messages from Copalion in one or more of the following ways:

  • Verbally, during a conversation with a Copalion representative.
  • By submitting an online form that includes SMS consent.
  • By checking an SMS consent box on a website, landing page, or form.
  • By providing your phone number and agreeing to receive SMS communications.
  • By filling out a written or electronic form authorizing SMS communications.

6.6 Opt-Out Method

You may opt out of receiving SMS messages from Copalion at any time. To opt out, reply "STOP" to any SMS message you receive from us.

After you send "STOP," we may send a confirmation message to confirm that you have been unsubscribed. After that, you will no longer receive SMS messages from us unless you opt in again.

6.7 Help

If you are experiencing issues with SMS messages, you may reply "HELP" to any SMS message you receive from us.

6.8 Additional Options

If you do not wish to receive SMS messages from Copalion, you can choose not to check the SMS consent box on our forms. You may also choose not to provide SMS consent when speaking with our representatives.

6.9 Standard Messaging Disclosures

6A. Call Recording and Consent

By accepting leads or participating in the Services, you acknowledge and agree that Copalion may record or monitor calls and communications related to the Services.

Recording is conducted in compliance with the Pennsylvania Wiretapping and Electronic Surveillance Control Act (18 Pa.C.S. §§ 5703, 5704) and applicable laws in other jurisdictions. You agree to notify employees and agents of such recording. Copalion acts as your service provider, and recording does not waive attorney-client privilege. Recordings may be used for quality assurance, compliance, training, and dispute resolution.

7. Third-Party Websites

The Sites may contain links to third-party websites. Copalion does not control or endorse such sites and is not responsible for their content or policies.

8. Prohibited Conduct

You may not use the Sites or Services to violate any law, infringe rights, interfere with operations, engage in fraud, misuse data, or otherwise harm Copalion or others.

9. Security

Security violations are prohibited and may result in civil or criminal liability. Copalion may suspend or terminate access at any time.

10. Accounts and Risk of Loss

You are responsible for maintaining accurate account information and safeguarding credentials. Unauthorized access must be reported immediately.

11. Submitted Materials

Unless expressly requested, Copalion does not accept confidential or proprietary submissions. Any materials submitted grant Copalion a perpetual, royalty-free, worldwide license to use such materials.

12. Intellectual Property

All Site content is owned by Copalion or its licensors and protected by intellectual property laws. Unauthorized use is prohibited.

13. Claims of Infringement (DMCA)

Copalion responds to valid DMCA notices. Notices should include all required information and be sent to:

14. Indemnification

You agree to indemnify and hold harmless Copalion and its affiliates from claims arising from your use of the Services or violation of these Terms.

15. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW.

16. Limitation of Liability

Copalion's total liability shall not exceed $100, to the maximum extent permitted by law.

17. Release

You release Copalion from all claims arising out of disputes related to the Services, including claims that are unknown or unsuspected at the time of release, to the fullest extent permitted by law.

18. Termination

Copalion may suspend or terminate access to the Services at any time without notice.

19. Severability

If any provision is found unenforceable, the remainder shall remain in effect.

20. Applicable Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

21. Dispute Resolution; Arbitration; Class Action Waiver

Disputes shall first be resolved through good-faith negotiation. Unresolved disputes shall be submitted to binding arbitration administered by JAMS in Philadelphia, Pennsylvania, before a single arbitrator.

You waive the right to a jury trial and class action. Arbitration decisions are final and enforceable. Courts located in Philadelphia County, Pennsylvania have exclusive jurisdiction for non-arbitrable matters.

22. General

These Terms constitute the entire agreement. Copalion may assign these Terms. No partnership or joint venture is created.
